1. Acceptance of Terms & Agreement

By creating an account, accessing, browsing, or utilizing the services provided by Prismudio (“Prismudio”, “we”, “us”, or “our”), you (“User”, “Creator”, or “Subscriber”) agree to be legally bound by these Terms of Service (“Terms”) and our Privacy Policy incorporated herein by reference.

If you are agreeing to these Terms on behalf of an entity, organization, or studio, you represent and warrant that you have full legal authority to bind that entity to these Terms. If you do not agree with any part of these Terms, you must immediately terminate your use of our platform.

2. Description of Services & Platform Scope

Prismudio provides an AI-accelerated pre-production operating system designed for YouTube creators, video essayists, and digital production studios. Platform capabilities include:

• Idea Engine & Trend Research: Channel scout analysis, audience opportunity scoring, and live search-grounded concept generation.
• AI Script Studio: Structured scripting, pacing frequency adjustments, retention loop engineering, and version history draft tracking.
• Voiceover & Storyboard Planning: Segmented narration direction, character/location continuity tracking, and visual timeline directions.
• Upload Packaging: Title generation, metadata optimization, description formatting, and chapter timestamps.

Scope Notice: Prismudio is exclusively an ideation, research, scripting, and pre-production planning tool. Prismudio does not render finished final video files (e.g. MP4/MOV), host video files, or directly upload or publish videos to YouTube or other social platforms.

3. User Accounts, Authentication & Security

To access platform features, you must register for an account using a valid email address or authenticated third-party OAuth provider (e.g. Google Sign-In). You agree to:

• Provide accurate, current, and complete registration information.
• Maintain the confidentiality and security of your account credentials and login sessions.
• Promptly notify Prismudio of any unauthorized use or security compromise of your account.
• Accept responsibility for all activities, API consumption, and token usage that occurs under your account.

4. Subscription Plans, Billing & Global USD Pricing

Prismudio offers both free and paid recurring subscription tiers (including Starter, Creator, and Studio plans) with monthly or annual billing cycles.

Payment Processing & Billing: All subscription charges are billed in USD ($) and processed securely through our authorized, PCI-DSS Level 1 certified payment gateway partners. Our payment processor handles payment tokenization and secure card handling. By initiating a subscription, you authorize our payment gateway to automatically charge your designated payment instrument (credit card, debit card, or supported payment method) on a recurring monthly or annual basis until cancelled.

Automatic Renewal: Subscription fees are charged automatically at the start of each billing cycle (e.g. monthly on the anniversary date or annually). If a recurring charge fails, we may re-attempt the charge or temporarily suspend access to paid tier token capacity until a valid payment is received.

5. Cancellation & Refund Policy

Effect of Cancellation: When you cancel your subscription, automatic renewal is immediately disabled. You will continue to have full access to your plan’s features, token quotas, and workspaces until the conclusion of your current paid billing period (month or year). Your subscription will not be charged again.

Refund Policy: Because AI computation and Gemini token capacity are provisioned and consumed in real-time upon generation:

• Monthly Subscriptions: Monthly payments are generally non-refundable once the billing period has commenced and AI tokens have been utilized. However, if you experienced technical service failure preventing usage, contact our support team within 48 hours for review.
• Annual Subscriptions: If you cancel an annual plan within 7 calendar days of initial purchase and have consumed less than 10% of the token quota, you may request a full refund less applicable gateway processing fees.
• Duplicate Charges: In the event of an accidental duplicate charge or billing discrepancy, our billing team will issue an immediate refund upon verification.

6. Intellectual Property & User Content Ownership

You Own Your Content: As between you and Prismudio, you own all rights, title, and interest in and to the prompts, research topics, scripts, scene directions, narration segments, and upload packages you create or generate using the platform (“User Content”).

License to Operate: You grant Prismudio a limited, worldwide, non-exclusive, royalty-free license to host, store, transfer, and process your User Content solely for the purpose of providing, maintaining, and improving the services requested by you. Prismudio does not sell your script drafts or project data to third-party data brokers.

Prismudio Platform Rights: Prismudio and its licensors retain all intellectual property rights in the platform architecture, user interfaces, branding, logos, design tokens, source code, and underlying algorithms.

7. AI Output & Generation Disclaimer

Prismudio utilizes advanced large language models (including Google Gemini API) to generate research synthesis, script beats, and storyboard suggestions. You acknowledge and agree that:

• Artificial intelligence outputs may occasionally contain factual inaccuracies, hallucinations, or out-of-date information.
• You are solely responsible for reviewing, fact-checking, editing, and verifying the accuracy and appropriateness of any generated script or content before recording, publishing, or broadcasting.
• You must comply with all third-party platform community guidelines, copyright laws, and monetization rules where you publish your videos.

8. Acceptable Use Policy

You agree not to misuse Prismudio or assist others in doing so. Prohibited conduct includes:

• Generating content that promotes hate speech, violence, harassment, illegal acts, or severe personal defamation.
• Attempting to probe, scan, reverse engineer, or exploit vulnerabilities in our API, databases, or rate-limiting systems.
• Using automated bots, web scrapers, or scripts to abuse token allowances or disrupt platform infrastructure.
• Sharing or reselling individual account credentials or access without proper studio enterprise authorization.

9. Disclaimer of Warranties & Limitation of Liability

THE PRISMUDIO PLATFORM IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PRISMUDIO, ITS DIRECTORS, EMPLOYEES, AFFILIATES, OR PARTNERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF THE PLATFORM.

PRISMUDIO’S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO PRISMUDIO IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, or validity thereof shall be subject to the exclusive jurisdiction of the competent courts located in India.
